01The service
Wonestop provides a platform to send and manage business communications over the official Meta WhatsApp Business Platform (Cloud API), including bulk broadcasts, templates, a shared inbox, automation and flows, forms, contact management, team management, an AI chatbot, and a developer API.
Wonestop is a software platform built on top of the WhatsApp Business Platform. We are not WhatsApp, Meta, or Razorpay, and we do not control their services, pricing, approvals, or policies. Your use of WhatsApp is also subject to Meta's and WhatsApp's own terms and policies.
02Eligibility and accounts
- You must be at least 18 years old and capable of forming a binding contract.
- You must provide accurate account information and keep it up to date.
- You are responsible for safeguarding your login credentials and API keys, and for all activity under your account.
- You must connect a valid WhatsApp Business Account through Meta and complete any verification Meta requires.
03Acceptable use
You agree that you will not use the Platform to:
- Send spam, unsolicited messages, or messages to recipients who have not opted in as required by WhatsApp/Meta policies and applicable law;
- Violate the WhatsApp Business Messaging Policy, WhatsApp Commerce Policy, or Meta's platform terms;
- Send unlawful, fraudulent, misleading, defamatory, obscene, or infringing content;
- Harvest data unlawfully, or upload contact data without a lawful basis and required consent;
- Circumvent messaging limits, quality controls, or billing;
- Interfere with, reverse engineer, or attempt to gain unauthorised access to the Platform.
You are solely responsible for the content of your messages, your templates, and your contact lists, and for obtaining valid opt-in/consent from your recipients. Meta may throttle, restrict, or ban WhatsApp numbers that violate its policies; we are not responsible for actions taken by Meta/WhatsApp against your account.
04Message credits, payments, and billing
4.1 Credits
The Platform operates on a prepaid message-credit model. To send messages, you purchase message credits, which are added to your paid wallet. Each message sent deducts credit(s) from your wallet at the applicable per-message rate.
- Rates: Pricing is charged on a per-message, all-inclusive basis. For Indian businesses this is a flat ₹0.10 per message; rates for messages sent to other countries vary by destination and are shown in your dashboard.
- Complimentary credits: We may grant free/promotional credits (e.g. on signup). Free credits are for evaluation, may be limited, may reset or expire, and carry no cash value.
- Paid credits do not expire. Message credits you have purchased remain in your paid wallet until consumed. There is no time-based expiry on purchased credits.
4.2 Payments via Razorpay
All payments are processed by Razorpay Software Private Limited ("Razorpay"). By purchasing credits, you also agree to Razorpay's terms and privacy policy. We do not store your full card/UPI/bank credentials.
- Prices are quoted in Indian Rupees (INR) unless stated otherwise.
- Payment is confirmed only after Razorpay authorises and captures the transaction and the payment signature is verified. Credits are added to your wallet upon successful verification.
- If a payment fails, is not captured, or fails signature verification, no credits are added.
4.3 Taxes and GST
Sagar Tech is GST-registered. Applicable GST and any other taxes are charged in addition to the credit amount, as shown at checkout. A GST tax invoice is generated for each successful purchase and is available for download from your billing history.
4.4 Refunds
Message credits are prepaid and generally non-refundable. Once credits are added to your wallet following a successful payment, the amount is non-refundable, whether or not the credits are used, except:
- Duplicate or erroneous charges: if you are charged more than once for the same purchase, or charged in error, we will refund the excess after verification.
- Failed provisioning: if your payment is captured by Razorpay but credits are not added to your wallet due to a technical error on our side, we will either add the credits or refund the amount.
- Where a refund is required by applicable law.
Because paid credits do not expire, you retain the full value of your purchase until you choose to use it. Approved refunds are made to the original payment method via Razorpay and may take up to 7–10 business days to reflect, subject to Razorpay/bank timelines. To request a refund under the above exceptions, contact [email protected] with your invoice ID within 7 days of the transaction.
We do not provide refunds for: messages already sent; charges levied by Meta/WhatsApp; downgrades or unused features; or account suspension/termination resulting from your breach of these Terms or of Meta/WhatsApp policies.
4.5 Billing records
Your transaction history and downloadable GST invoices are available in your dashboard. You are responsible for reviewing charges and notifying us of any discrepancy promptly.
05Third-party services and integrations
The Platform integrates with third-party services including Meta/WhatsApp, Razorpay, email providers, analytics, optional AI providers (for the AI chatbot), and e-commerce platforms (Shopify, WooCommerce) or your own systems via our Developer API and webhooks. Your use of these integrations is subject to the respective third party's terms. We are not liable for third-party services, their availability, pricing, or actions.
06Customer data and privacy
You retain ownership of the contact and message data you upload ("Your Data"). You grant us a limited licence to process Your Data solely to provide the Platform. You are the controller of Your Data and are responsible for its lawful collection and use, including recipient consent/opt-in. Our handling of data is described in the Privacy Policy.
07Intellectual property
The Platform, including its software, design, and content (excluding Your Data), is owned by Sagar Tech and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Platform per these Terms. You may not copy, resell, sublicense, or create derivative works from the Platform without our written consent.
08Service availability
We aim to keep the Platform available and reliable but do not guarantee uninterrupted or error-free operation. The Platform depends on third-party services (notably Meta/WhatsApp and Razorpay) whose availability is outside our control. We may perform maintenance, updates, or changes to features.
09Suspension and termination
- By you: you may stop using the Platform and request account closure at any time.
- By us: we may suspend or terminate your account, with or without notice, if you breach these Terms, violate Meta/WhatsApp policies, engage in fraud or abuse, or fail to pay. Where practical, we will give notice.
On termination, your right to use the Platform ends. Unused paid credits are non-refundable on termination for cause (your breach). Where we terminate without cause, we will refund the value of unused paid credits.
10Disclaimers
The Platform is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not warrant that your messages will be delivered, that your templates or account will be approved by Meta, or that you will achieve any particular business result.
11Limitation of liability
To the maximum extent permitted by law, Sagar Tech and its partners, employees, and service providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Platform will not exceed the amount you paid to us for message credits in the three (3) months preceding the event giving rise to the claim.
12Indemnity
You agree to indemnify and hold harmless Sagar Tech from claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Platform, your content and messages, your breach of these Terms, or your violation of any law or third-party rights (including Meta/WhatsApp policies and recipient consent requirements).
13Governing law and jurisdiction
These Terms are governed by the laws of India. Subject to any applicable law, the courts at Mumbai, Maharashtra, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Platform.
14Changes to these Terms
We may update these Terms from time to time. We will post the updated version with a revised "Last updated" date and, where changes are material, notify you. Continued use after changes take effect constitutes acceptance.
